Terms and Conditions

Thanks for registering your interest to host an event for Inbound Marketing Week 2015 (“IMW”). By submitting an application to host an event for IMW you agree to the terms and conditions below which shall apply to your application and, in the event that we approve you to host an event for IMW, your role as a host for IMW.

Application

HubSpot, Inc. (“HubSpot”, “we”, and “our”) may choose to accept or reject your application to host an event for in our discretion. By filling out and submitting an application to become a host of an event for IMW, you acknowledge that we have not promised or guaranteed that you will be approved as a host for an event as part of IMW. You agree that we may use the information you include in your application and otherwise submit to us in connection with your application and role as host (if applicable) as we determine to be appropriate, such as on the IMW website, in public or private presentations, press releases and interviews, or in connection with our sales and marketing.

 

Sponsorship and Support

The events held during IMW are not sponsored by us. You acknowledge that we are not obligated to provide you or your event with any financial, promotional or other support. You are responsible for all costs, liabilities and obligations related to your event.

 

We may choose to use our social media networks, such as LinkedIn, Twitter, and Facebook, to promote IMW. We may choose to promote or not promote you or your event at our discretion.

 

Branding

You agree that we may use and display your name, logo, trademarks, and service marks in connection with promoting IMW however and wherever we choose and that we are under no obligation to use them at all. We may choose to use your name, logo, trademarks, and/or service marks to promote IMW on the IMW website, in public or private presentations, press releases and interviews, or in connection with our sales and marketing.

 

If you are approved by us to host an event for IMW, you may use the IMW name, logo, trademarks, and service marks that we make available to you (the “Marks”) as long as you follow the guidelines in this paragraph.  You must: (i) only use the Marks that we make available to you, without altering them in any way; (ii) only use the Marks in connection with IMW; and (iii) immediately comply if we request that you discontinue use.  You must not: (i) use the Marks in a misleading or disparaging way; (ii) use the Marks in a way that implies HubSpot endorses, sponsors or approves of your services, products, or event; or (iii) use the Marks in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material. You may not use the HubSpot name, logos, trademarks, or service marks, nor may you use the HubSpot User Group (“HUG”) name, logos, trademarks, or service marks unless we have otherwise agreed in writing.

 

INBOUND 2015 and HubSpot Speakers

If you are selected to host an event for IMW and more than 75 people register to attend your event, we will provide you with two free All Access tickets to INBOUND 2015 (subject to availability and does not apply to VIP INBOUND tickets). In order to be eligible to receive these free tickets, you must submit verification of the number of attendees at your event in a form reasonably acceptable by us no later than February 27, 2015.  You agree that your participation in IMW and/or your receipt of free INBOUND 2015 tickets pursuant to this paragraph will not entitle you to a discount or refund on any INBOUND 2015 ticket you may otherwise purchase or have purchased.

 

If you are selected to host an event for IMW and more than 100 people register to attend your event, we will try to make available to you a speaker to participate in a presentation at your IMW event. In order to be eligible to have a speaker made available to you, you must submit verification of the number of attendees at your event in a form reasonably acceptable by us no later than February 6, 2015. There is a limited number of speakers, so participation is based upon availability and speakers will be scheduled generally on a first come first serve basis. Speaker availability and participation is not guaranteed. Participation by a speaker will be excused if the speaker is prevented from participating due to an event outside its or our reasonable control. The time and place of a speaker presentation will be mutually agreed to by the parties. We may choose at our discretion which speaker we will make available. The content of a speaker’s presentation will be solely at his or her discretion.

 

You agree to indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding brought against us based upon or arising out of your event or use of the information you submit to us in connection with you application and/or participation. You will not accept any settlement that (i) imposes an obligation on us, (ii) requires us to make an admission, or (iii) imposes liability not covered by these indemnifications or places restrictions on us without our prior written consent.

 

TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES. IF, NOTWITHSTANDING THE OTHER TERMS OF THIS AGREEMENT, WE ARE DETERMINED TO HAVE ANY LIABILITY TO YOU OR ANY THIRD PARTY, THE PARTIES AGREE THAT OUR AGGREGATE LIABILITY WILL BE LIMITED TO $500. WE AND OUR AFFILIATES AND AGENTS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING IMW OR YOUR PARTICPATION IN IMW AND WE DISCLAIM ALL LIABILITY ARISING FROM YOUR PARTICIPATION IN IMW.

 

General
We might use or share your information with other parties in order to help improve future IMWs.  Please be aware that we may update and change any part or all of these Terms and Conditions at any time without notifying you first. If we update or change these Terms and Conditions, the updated Terms and Conditions will be posted at inboundmarketingweek.org/terms. The updated Terms and Conditions will become effective and binding on the next business day after it is posted. When we change the Terms and Conditions, the "Last Modified" date above will be updated to reflect the date of the most recent version. We encourage you to review these Terms and Conditions periodically.  If you do not agree with these Terms and Conditions, you should not apply or host an IMW event.
